USER AGREEMENT

GENERAL TERMS OF USE OF THE ROOMSING SERVICE

Effective date: 10 August 2026

This User Agreement (“Agreement” or “Terms”) governs access to and use of Roomsing software, web applications, Guest interfaces and related digital services.

The Service is provided by:

SAGNA PROPERTIES LIMITED
Private Limited Company incorporated under the laws of the Republic of Cyprus

Hereinafter referred to as “Roomsing”, “Company”, “we”, “us” or “Service Provider”.

The person accessing or using Roomsing is referred to as the “User”.


1. DEFINITIONS

Roomsing means the software platform, web applications, Guest interfaces, APIs and related technological services provided under the Roomsing brand.

User means an individual accessing or using Roomsing.

Guest means an individual using or intending to use accommodation services provided by an Accommodation Provider.

Accommodation Provider means a hotel, serviced-apartment operator, property-management company, accommodation owner or other organisation providing accommodation and using Roomsing technology.

Account means a personal account or Guest interface made available within Roomsing.

Services means functionality provided through Roomsing, which may include:

  • online check-in;
  • Guest registration;
  • reservation information;
  • Guest interfaces;
  • electronic documents;
  • electronic signing;
  • Guest communications;
  • AI-assisted communications;
  • digital access;
  • smart-lock integrations;
  • notifications;
  • PMS and CRM integrations;
  • other digital hospitality functionality.

2. SUBJECT OF THE AGREEMENT

Roomsing grants the User a limited, non-exclusive, non-transferable and revocable licence to use the relevant Roomsing software and Services for their intended purpose and in accordance with these Terms.

The licence does not transfer ownership of Roomsing software or intellectual-property rights to the User.

Where affirmative acceptance is required, the User may accept these Terms by:

  • selecting a checkbox;
  • clicking an acceptance button;
  • creating an Account where acceptance is expressly required;
  • using functionality after the Terms have been presented for acceptance.

If the User does not accept these Terms, the User should not use functionality requiring acceptance.


3. ROLE OF ROOMSING

Roomsing is a technology provider.

Unless expressly stated otherwise, Roomsing:

  • is not a hotel;
  • is not an Accommodation Provider;
  • does not own the accommodation booked by the Guest;
  • is not a landlord;
  • does not physically provide accommodation services;
  • is not a party to the accommodation agreement between the Guest and Accommodation Provider.

The Accommodation Provider determines matters including:

  • availability;
  • accommodation conditions;
  • check-in and check-out rules;
  • cancellation conditions;
  • Guest eligibility;
  • house rules;
  • deposits required directly by the Accommodation Provider;
  • taxes and charges associated with accommodation;
  • condition of the property;
  • services physically provided at the property.

Roomsing provides technological infrastructure enabling the Guest and Accommodation Provider to interact digitally.


4. NO PROCESSING OF PAYMENTS FROM GUESTS

Roomsing does not accept or process payments from individual Users or Guests.

Roomsing does not act as:

  • a payment service provider;
  • payment intermediary;
  • acquiring institution;
  • money-transfer provider;
  • recipient of accommodation payments made by Guests.

Roomsing does not collect or store Guest payment-card credentials for payment of accommodation.

Any payment or other financial settlement relating to accommodation or services is made outside Roomsing directly between the Guest and the relevant Accommodation Provider or through an external service selected independently by the Accommodation Provider.

Any dispute concerning an accommodation payment, refund, deposit or other financial settlement should therefore be addressed to the Accommodation Provider or the relevant external provider, as applicable.


5. ACCOUNT AND ACCESS

Certain Services may require an Account or personalised Guest interface.

The User must provide information that is accurate and reasonably complete.

Roomsing may use authentication methods including:

  • passwords;
  • one-time codes;
  • email links;
  • telephone verification;
  • device authentication;
  • other appropriate security mechanisms.

The User must take reasonable measures to prevent unauthorised access to their Account and credentials.


6. ONLINE CHECK-IN AND GUEST REGISTRATION

Roomsing may enable Accommodation Providers to conduct online check-in and Guest registration.

Depending on the applicable requirements, a Guest may be asked to provide:

  • name;
  • contact information;
  • date of birth;
  • nationality;
  • reservation information;
  • passport or identity-document information;
  • an image or copy of an identity document;
  • information concerning accompanying Guests.

The User must not intentionally provide false, forged or misleading information or documents.

Roomsing provides the technological functionality through which such information may be submitted.

The Accommodation Provider determines whether information supplied by the Guest is sufficient for registration or check-in.


7. NO BIOMETRIC PROCESSING

Roomsing does not process biometric data for the purpose of uniquely identifying a person.

Roomsing does not:

  • perform facial recognition;
  • perform biometric face matching;
  • create biometric facial templates;
  • use fingerprints for identification;
  • use iris recognition;
  • create biometric profiles.

A photograph contained in an identity document is treated as part of that document and is not used by Roomsing to create a biometric identification template.


8. RESERVATION INFORMATION

Roomsing may allow Users to:

  • view reservation information;
  • receive information relating to a reservation;
  • submit Guest information;
  • request changes;
  • communicate with the Accommodation Provider.

Reservation information may originate from:

  • the Accommodation Provider;
  • a PMS;
  • a booking engine;
  • an online travel agency;
  • another reservation system integrated with Roomsing.

The Accommodation Provider remains responsible for the commercial terms of the accommodation booking.


9. DIGITAL ACCESS

Roomsing may integrate with smart locks, gateways and access-control systems.

The User may receive:

  • temporary access codes;
  • digital keys;
  • access links;
  • access functionality through a Roomsing interface;
  • other authorised digital credentials.

The User must not intentionally provide such credentials to unauthorised persons.

Digital access may depend on third-party systems, internet connectivity, mobile networks, Bluetooth, electricity or other technology outside Roomsing’s reasonable control.

Where digital access fails, the Accommodation Provider remains responsible for providing the Guest with access to the accommodation in accordance with its obligations to the Guest.


10. ELECTRONIC DOCUMENTS

Roomsing may enable Accommodation Providers and Users to exchange, complete or sign documents electronically.

Roomsing may record technical information associated with an electronic action, including:

  • date and time;
  • document version;
  • User identifier;
  • IP address;
  • confirmation action;
  • relevant technical records.

The legal effect of a particular electronic document or electronic signature depends on applicable law, the type of document and the circumstances of its use.


11. USER OBLIGATIONS

The User must:

  • comply with applicable law;
  • provide accurate information where reasonably required;
  • protect Account credentials;
  • respect the rights of other persons;
  • use Roomsing for legitimate purposes;
  • promptly report suspected unauthorised access.

The User must not:

  • impersonate another person;
  • create fraudulent accounts;
  • submit forged documents;
  • deliberately provide materially false information;
  • obtain unauthorised access to another Account;
  • unlawfully collect Personal Data;
  • introduce malware;
  • interfere with operation of the Service;
  • circumvent security measures;
  • use Roomsing for fraud or other unlawful activity;
  • attempt to obtain unauthorised access to Roomsing infrastructure.

12. SOFTWARE RESTRICTIONS

Except where expressly permitted by mandatory applicable law, the User may not:

  • copy Roomsing software except as necessary for authorised use;
  • modify the software;
  • distribute unauthorised copies;
  • sell or sublicense the software;
  • reverse engineer the software;
  • decompile or disassemble the software;
  • circumvent technological security measures;
  • extract source code;
  • use Roomsing components in another product without authorisation.

13. ARTIFICIAL INTELLIGENCE

Roomsing may provide AI-assisted functionality enabling Accommodation Providers to communicate with Guests.

Such functionality may assist with:

  • answering Guest questions;
  • providing information about accommodation;
  • providing check-in instructions;
  • receiving Guest requests;
  • creating operational tasks;
  • automating routine communications.

AI-generated information may occasionally be inaccurate, incomplete or outdated.

For important matters concerning accommodation, access, cancellation, safety or emergencies, the Guest should verify information with the Accommodation Provider where appropriate.

Roomsing AI functionality does not perform biometric identification.


14. COMMUNICATIONS

Roomsing and/or the Accommodation Provider may send operational communications necessary to provide the relevant Service, including:

  • registration links;
  • booking information;
  • check-in instructions;
  • digital-access information;
  • security notifications;
  • service messages;
  • responses to Guest requests.

Operational communications are distinct from marketing communications.

Acceptance of this Agreement does not constitute consent to optional marketing.

Where consent is legally required for marketing, it will be requested separately.


15. USER CONTENT

Where Roomsing allows a User to upload or create content, the User retains intellectual-property rights lawfully held in that content.

The User grants Roomsing a non-exclusive licence to store, reproduce, transmit and technically modify such content only to the extent reasonably necessary to provide, secure and operate the Roomsing Service.

This does not grant Roomsing an unrestricted right to use private User content for unrelated advertising or publication.


16. INTELLECTUAL PROPERTY

Roomsing software and related materials, including:

  • source and object code;
  • interfaces;
  • databases;
  • design;
  • graphics;
  • trademarks;
  • logos;
  • documentation;
  • algorithms;
  • software architecture;

are protected by applicable intellectual-property law.

Rights are owned by SAGNA PROPERTIES LIMITED or applicable licensors unless otherwise stated.

No ownership rights are transferred to the User.


17. THIRD-PARTY SERVICES

Roomsing may integrate with third-party services including:

  • PMS platforms;
  • CRM systems;
  • booking systems;
  • smart-lock systems;
  • access-control providers;
  • communication providers;
  • cloud services;
  • other APIs.

Third-party services may be governed by their own terms.

Roomsing is not responsible for acts or omissions independently performed by another service provider except where liability cannot legally be excluded.


18. SERVICE AVAILABILITY

Roomsing takes reasonable measures to maintain availability and security.

Temporary interruptions may occur because of:

  • maintenance;
  • software updates;
  • technical failures;
  • internet disruption;
  • third-party infrastructure failures;
  • security incidents;
  • circumstances outside Roomsing’s reasonable control.

Roomsing does not guarantee uninterrupted operation of every function.

Nothing in this section limits mandatory consumer rights.


19. SUSPENSION OR TERMINATION

Roomsing may restrict or suspend access where reasonably necessary because of:

  • material breach of these Terms;
  • fraudulent activity;
  • security threats;
  • unlawful use;
  • unauthorised access;
  • legal requirements;
  • protection of Users or third parties.

Where appropriate and reasonably practicable, Roomsing will provide notice of material suspension or termination.

The User may stop using Roomsing at any time.


20. PERSONAL DATA

Personal Data processed in connection with Roomsing are handled in accordance with the Roomsing Privacy Policy.

Depending on the circumstances:

  • the Accommodation Provider may act as Data Controller; and
  • SAGNA PROPERTIES LIMITED may act as Data Processor.

Where SAGNA PROPERTIES LIMITED independently determines the purposes and means of processing, it may act as Data Controller.

Roomsing:

  • does not sell Guest Personal Data;
  • does not make Guest Personal Data publicly available merely because Roomsing is used;
  • does not process biometric data for unique identification;
  • does not process Guest payments or Guest payment credentials.

21. COOKIES

Roomsing may use cookies or similar technologies required for:

  • authentication;
  • security;
  • session management;
  • User-requested functionality.

Where consent is required for optional analytics or marketing technologies, such technologies will be used subject to the applicable consent requirements.

Further information is provided in the Privacy Policy and/or Cookie Policy.


22. LIABILITY

Nothing in this Agreement excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

Roomsing is responsible for the digital technology services it provides.

Roomsing is not responsible for obligations independently belonging to an Accommodation Provider, including:

  • physically providing accommodation;
  • condition of accommodation;
  • housekeeping;
  • accommodation availability;
  • services at the property;
  • accuracy of information supplied by the Accommodation Provider;
  • cancellation decisions made by the Accommodation Provider.

Nothing in this Agreement limits mandatory consumer rights.


23. CONSUMER RIGHTS

Where the User acts as a consumer, nothing in this Agreement limits rights provided by mandatory consumer-protection legislation.

If a provision of this Agreement conflicts with mandatory consumer law applicable to the User, the mandatory provision prevails to the extent of that conflict.


24. CHANGES TO THIS AGREEMENT

Roomsing may amend this Agreement for legitimate reasons including:

  • changes to the Service;
  • security requirements;
  • changes to applicable law;
  • regulatory requirements;
  • introduction of new functionality.

Where applicable law requires prior notification of material changes, Roomsing will provide appropriate notice.

Changes will not retroactively remove mandatory rights already accrued by a consumer.


25. GOVERNING LAW

This Agreement is governed by the laws of the Republic of Cyprus, subject to applicable mandatory provisions of European Union law.

If the User is a consumer, this choice of law does not deprive the User of protection afforded by mandatory provisions of law that would otherwise apply under applicable conflict-of-law rules.


26. DISPUTES

Users are encouraged to contact Roomsing first regarding disputes relating directly to the Roomsing Service:

Issues relating to the accommodation itself or financial settlements with the Accommodation Provider should normally be addressed directly to the Accommodation Provider.

Subject to mandatory consumer jurisdiction rules, disputes directly involving SAGNA PROPERTIES LIMITED shall be subject to the jurisdiction of the competent courts of the Republic of Cyprus.
